Terms of Use
Effective:
By accessing or using RegLabs Studio, the RegLabs MCP service, authorized APIs and connectors, or their materials (collectively the “Services”), you accept these Terms of Use. Reg Labs Inc. and its affiliates (collectively “RegLabs”) provide the Services subject to these terms and any applicable subscription or client agreement. References below to the “Site” include the Services. You must have authority to use the Services for any organization you represent. A separately agreed written client or subscription agreement controls to the extent of any conflict with these Terms of Use. RegLabs may update these terms; material changes will be notified through the Services or your account contact before they take effect. Continued use after the notified effective date constitutes acceptance, subject to applicable law and your written agreement.
1. Limited License to Use the Services
Except as specifically permitted below, nothing contained in these Terms of Use or the Site either grants or will be construed to grant to you or any third party any title or interest in, or any license or right to use or reproduce, any image, text, software, code, trademark, logo, or service mark contained in the Site, including without limitation the name or logo of RegLabs or any of its affiliates. RegLabs reserves, and will enforce to the fullest extent possible, all rights that it may have with respect to copyright and trademark ownership of all material in the Site.
Subject to these Terms of Use, your subscription or client agreement and applicable plan limits, RegLabs grants you a limited, nonexclusive, nontransferable license to access and use the Services for your own informational purposes and your organization’s authorized internal business activities, including regulatory research and compliance work. Authorized users may retrieve, display, analyze, summarize and print permitted materials and use authorized connectors and AI assistants for these activities. This permission does not authorize resale, public redistribution, sublicensing, bulk extraction, or creation of a competing database or service. Except for these permitted activities or as expressly agreed in writing, you may not modify, distribute, transmit, perform, reproduce, publish, license, create derivative works from, transfer, sell, post or frame the Services or their materials. Rights in third-party source materials remain subject to applicable law and third-party terms.
You are prohibited from using the Site:
- for any unlawful purpose.
- to promote, advocate, or assist in any unlawful acts or to solicit others to perform or participate in any unlawful acts;
- to violate any international, federal, provincial, or state regulations, rules, laws, or local ordinances;
- to infringe upon or violate our intellectual property rights or the intellectual property rights of others;
- to use the Services or their materials to train, fine-tune or otherwise improve artificial intelligence models or systems (including Large Language Models), unless RegLabs expressly authorizes that use in writing;
- to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability;
- to upload or transmit any material or content that attempts to falsely state or otherwise misrepresent your identity or affiliation with a person or entity;
- to upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the Site or of any related website, other websites, or the Internet;
- to upload or transmit any material or content that is pornographic, threatening, harassing, libelous, hate-oriented, harmful, defamatory, racist, xenophobic, or illegal;
- to upload or transmit material or content that promotes, provides, or relates to instructional information about illegal activities or promotes physical harm or injury against any individual or group;
- to upload or transmit or otherwise make available any unsolicited or unauthorized advertising, promotional materials, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” or any other form of solicitation;
- to collect or track personal information of others outside the permitted regulatory research purpose or in violation of applicable law;
- to spam, phish, pharm, pretext, or use unauthorized crawling, scraping or bulk data collection; authorized retrieval through RegLabs-provided interfaces remains permitted within your plan limits;
- for any obscene or immoral purpose; or
- to interfere with or circumvent the security features (e.g., rate limits) of the Site or any related web site, other web sites, or the Internet.
Subscriptions and plan limits
Access to paid or restricted Services requires an active subscription or other entitlement for the relevant service, including the RegLabs MCP plan where required. The applicable order, subscription or client agreement specifies fees, billing, renewal, cancellation and any refund rights. These Terms of Use do not create additional billing or refund terms. Your plan may limit authorized users, requests, data history, records, exports or available features. RegLabs may enforce the applicable limits, reject requests above a limit and restrict expired or unauthorized access. You must not share credentials with unauthorized users, bypass limits or use multiple accounts or connectors to evade them. Cancellation of a subscription and revocation of OAuth credentials are separate actions; ask Support about each action you require.
Connectors and AI assistants
You may authorize a supported AI assistant or other connector to retrieve and process permitted RegLabs information on your behalf for the licensed purposes. Requests through the connector remain subject to your account permissions and plan limits. You are responsible for obtaining your organization’s authorization and selecting a host whose terms, privacy controls and data handling are appropriate for the information involved. Do not submit information you are not authorized to disclose. Third-party assistant providers operate independently under their own terms and policies; RegLabs does not control their outputs, conversation history or retention.
Permitted assistant use includes retrieval, summarization, analysis and generating answers for the authorized user. It does not permit using RegLabs materials as training or fine-tuning data or otherwise improving model parameters. Do not authorize an assistant-provider use of RegLabs materials that conflicts with this restriction. Review assistant outputs against the retrieved sources; outputs may be inaccurate or incomplete and do not replace professional judgment. Disconnecting a connector in the host does not revoke credentials at RegLabs. Request administrative revocation or account/data deletion through contact@reglabs.ai; identity and scope verification and administrative processing are required.
2. Links to Third-Party Websites
RegLabs has not necessarily reviewed any of the web sites that may be linked to the Site and is not responsible for their content. RegLabs is not responsible for the privacy practices of such other web sites. Your linking to or use of any off-site pages or other web sites is at your own risk. RegLabs’ inclusion of links to other web sites does not imply any endorsement of the material located on or linked to by such web sites.
3. No Warranty
RegLabs, and its respective officers, directors, principals, agents, and employees make no representations or warranties, express or implied, regarding the accuracy, reliability, completeness, suitability, or other characteristics of the information and materials contained on or presented through the site. Any content of the site is subject to change without notice. All such information and materials are provided “as is,” without any warranty of any kind. RegLabs hereby further disclaims all warranties and conditions with regard to such information and materials, including all implied warranties and conditions of merchantability, fitness for a particular purpose, title, non-infringement, and availability.
4. Limitation of Liability
To the full extent permitted by applicable law, RegLabs and its respective officers, directors, principals, agents, and employees shall not be liable for any claims, liabilities, losses, costs, or damages, including direct, indirect, punitive, incidental, special, or consequential damages, arising out of or in any way connected with (i) the use of or inability to use the site or with any delay in using the site, or (ii) any information and materials obtained through the site, or (iii) otherwise arising out of the access and/or use of the site in any case, whether based on theories arising in contract, tort, strict liability, or otherwise. Such limitations apply even if RegLabs or any of its respective officers, directors, principals, agents, or employees have been advised of the possibility of damages.
5. General
If any provision of these Terms of Use is held to be invalid or unenforceable in any jurisdiction, such provision shall be deemed modified to the minimum extent necessary so that such provision shall no longer be held to be invalid or unenforceable, and these Terms of Use shall be interpreted so as to achieve the intent expressed herein to the greatest extent possible in the jurisdiction in question. Any such modification, invalidity or unenforceability shall be strictly limited both to such provision and to such jurisdiction.
